Contractual Preamble

This instrument governs the contractual relationship between Multiservicios Administrativos y Aduanales Villegas & Asociados, C.A. (Tax ID), operating commercially as Full Cargo Express and its sister brand Shop and Gets (hereinafter «THE COMPANY»), and any individual or legal entity requesting or contracting our services (hereinafter «THE CLIENT»).

01

Operator Identification and Scope of Services

Full Cargo Express is a commercial brand operated by Multiservicios Administrativos y Aduanales Villegas & Asociados, C.A., registered under Venezuelan Tax ID (RIF) , duly authorized to act as a Licensed Customs Broker and International Logistics Operator. Our services encompass four (4) primary operational areas: (a) Supplier sourcing, factory auditing, pre-shipment quality control, and reception at owned warehouses in China (Yiwu and Enping); (b) International ocean (FCL and LCL), air, and ground freight from China, the United States, Spain, and Mexico; (c) Direct customs brokerage at the ports of La Guaira, Puerto Cabello, Guanta, and El Guamache, including sealed customs transits and special regimes; and (d) Customs legal advisory and technical permit processing.

02

Applicable Regulatory Framework and International Conventions

All operations executed by THE COMPANY are governed by: (1) The Organic Customs Law of the Bolivarian Republic of Venezuela and its General Regulations; (2) The Venezuelan Customs Tariff (based on the WCO Harmonized System) and SENIAT Administrative Rulings; (3) The official INCOTERMS® 2020 rules of the International Chamber of Commerce (ICC) agreed upon in each commercial transaction; (4) International conventions governing ocean carriage under Bills of Lading (B/L) and international air carriage under Air Waybills (AWB, Montreal/Warsaw Conventions); and (5) Technical regulations issued by SENCAMER, the Ministry of Health (Sanitary Comptroller), the Ministry of Ecosocialism (RACDA), and the Chemical Substances Registry (RESQUIM).

03

International Procurement, Factory Auditing, and China Warehousing

When THE CLIENT contracts manufacturer sourcing, on-site factory verification, or pre-shipment inspection services in China (Yiwu, Enping, or other industrial provinces), THE COMPANY shall issue a documentary and photographic technical report based on the samples, specifications, and parameters supplied by THE CLIENT. THE COMPANY acts as an independent auditor and logistics manager, not as the manufacturer; therefore, long-term mechanical or electronic performance warranties remain the responsibility of the selected manufacturer unless a written guaranteed-procurement agreement is executed. All cargo delivered by suppliers to our Yiwu or Enping warehouses must display the assigned client code and include an accurate Packing List.

04

Warehouse Reception, Dimensional Measurement, and Chargeable Weight

Upon cargo arrival at any of our warehouses in China, the United States (Miami), Spain (Madrid), or Mexico (Querétaro), operational staff will inspect external package conditions, weigh items on calibrated scales, and measure dimensions (length × width × height) to issue a Warehouse Receipt. For Less-than-Container-Load (LCL) ocean freight, rates are billed per cubic meter (CBM) or metric ton (whichever is greater under international maritime standards). For commercial or express air freight, charges are calculated on the greater of actual gross weight in kilograms or international volumetric weight (Length × Width × Height in cm ÷ 6,000, or the applicable IATA route factor). Repackaging or palletization is performed when technically advisable to protect cargo or reduce unused volume.

05

Value Declaration, Tariff Classification, and Documentary Responsibility

In accordance with the Organic Customs Law, THE CLIENT is responsible for the truthfulness, accuracy, and completeness of all commercial documents provided for customs declaration (Final Commercial Invoice, Packing List, Certificate of Origin, transport documents, and technical data sheets). Our technical team performs tariff classification and customs valuation in the SIDUNEA system in strict compliance with the current Customs Tariff. Any discrepancy between the physical goods shipped by the supplier and the commercial invoice declaration (such as undeclared overages, unlicensed trademarked goods, or under-invoicing) shall be the sole responsibility of the importer or consignee before the customs authority (SENIAT).

06

Prior Technical Permits and Legal Regimes (SENCAMER, Sanitary, RACDA, RESQUIM)

All merchandise subject to Legal Regimes under the Venezuelan Customs Tariff (Technical Notes 1 through 21, such as SENCAMER certificates, Sanitary Registrations for food, cosmetics, or pharmaceuticals, RACDA environmental authorizations, or RESQUIM chemical registrations) requires such permits to be valid prior to shipment or arrival at the primary customs zone. Full Cargo Express provides prior technical consulting and permit processing; however, THE CLIENT must not order the shipment of restricted goods without prior validation from our Customs Legal Practice.

07

Special Customs Regimes (In-Bond, ATP) and Sealed Eastern Highway Corridor

For operations under In-Bond Customs Warehousing or Temporary Admission for Inward Processing (ATP), THE CLIENT agrees to comply with statutory storage, re-export, or partial nationalization deadlines established by the Organic Customs Law and posted customs bonds. During transfers via our Sealed Highway Corridor to Eastern Venezuela (Anzoátegui, Monagas, Bolívar, and Nueva Esparta) or inter-customs transits, customs seals may only be broken at the authorized destination by designated officials or operators.

08

Prohibited, Hazardous (IMO / IATA DGR), or Illicit Goods

The shipment of weapons, ammunition, explosives, unauthorized chemical precursors, narcotics, cash, bearer instruments, infectious biological samples, protected wildlife, or counterfeit goods is strictly prohibited. Goods classified as Dangerous Goods under the maritime IMDG/IMO Code or IATA DGR air regulations (including lithium batteries, aerosols, flammables, corrosives, and industrial chemicals) must be expressly declared prior to warehouse delivery together with their Material Safety Data Sheet (MSDS / SDS) in Spanish or English to arrange specialized handling.

09

Quotations, Tax Liquidation, Storage Fees, and Container Demurrage

All quotations issued by Full Cargo Express remain valid for the period stated on the document (15 calendar days by default) and are subject to ocean/air carrier rates in effect at the time of actual shipment. Customs duties (Import Duty, Customs Regime Determination Fee, and Value Added Tax - VAT) are assessed at the official exchange rate published by the Central Bank of Venezuela (BCV) on the declaration registration date. Container demurrage and detention charges, port storage (Bolipuertos), or airport storage fees resulting from document or payment delays attributable to THE CLIENT shall be borne by THE CLIENT.

10

International Cargo Insurance, Liability Limits, and Claims

We strongly advise all clients to contract the International Cargo Insurance Policy (All-Risks Coverage / Institute Cargo Clauses A) offered at the time of quotation. Should THE CLIENT elect to ship without cargo insurance, the liability of ocean, air, or ground carriers shall be limited to the statutory caps set forth in the international conventions governing the Bill of Lading (B/L) or Air Waybill (AWB). Any claim for shortage or visible external damage must be noted on the delivery receipt upon cargo reception and notified in writing within forty-eight (48) hours.

11

Special Conditions for International Lockers and Parcel Services (Shop and Gets)

Online shopping shipments, small parcels, spare parts, and family packages managed through our sister brand Shop and Gets enjoy reception and consolidation at our warehouses in Miami, Madrid, China, and Mexico. Received packages include up to thirty (30) calendar days of complimentary storage for consolidation; after this period without dispatch instructions, storage fees may apply, or items may be declared abandoned after ninety (90) days following prior notice to the client. For deliveries within Venezuelan territory utilizing Cash on Delivery (COD) via allied postal or courier operators, the weight and coverage terms stated on the dispatch waybill shall apply.

12

Governing Law, Venue, and Dispute Resolution

The parties agree that any question or dispute arising from the interpretation or performance of these Terms and Conditions shall first be resolved through direct, good-faith conciliation between the Operations Directorate of Full Cargo Express and THE CLIENT. If no settlement is reached, this agreement shall be governed by the laws of the Bolivarian Republic of Venezuela, selecting the city of Caracas as the special and exclusive venue, to whose competent courts the parties expressly submit.
